Job description
✨ Your mission
Swan is seeking a hands-on VP Legal to build our corporate legal function and team from the ground up. Reporting directly to the Deputy CEO, the VP Legal is responsible for the corporate legal function at Swan, including corporate governance, contracts, intellectual property, GDPR, and strategic initiatives like fundraising and M&A. As a trusted advisor to the leadership team, the role ensure the company operates within legal and ethical frameworks while driving business growth.

✨ Main tasks
As a VP Legal, your role is develop and structure a wide range of legal services for the company, including but not restricted to:
- Corporate legal: Oversee annual shareholder meetings and board meetings, manage the equity/stock-option plans, coordinate fundraising legal aspects, and maintain corporate records and documentation.
- Legal structures: Oversee corporate structure, subsidiaries, and international entity management.
- Drafting and negotiating contracts: prepare the documentation with financial institutions, service providers, and partners
- Intellectual Property (IP): Protecting the company’s IP, including trademarks, patents, and copyrights.
- Litigation Management: Managing external legal disputes (e.g., lawsuits, claims).
- General Legal Advice: Offering broad legal guidance on a variety of business issues, helping the company navigate potential legal risks in its operations.
- Data Protection: Act as the company’s DPO, ensuring compliance with industry-specific regulations, particularly GDPR and cybersecurity compliance.
- Strategic projects: Support fundraising efforts, including due diligence and investor negotiations. Lead legal workstreams for M&A, partnerships, and other strategic transactions.
- Cross-Functional Collaboration: Act as a liaison with the Regulatory Compliance team, who ensures compliance with financial regulations, licensing, and internal policies governing financial and consumer protection laws. Advise on complex issues related to labor laws and employee disputes, working as a partner to the Chief People Officer.
- Team building and Management: Build and scale an in-house legal team while effectively managing external counsel.
- Training: Create and deliver training programs to educate employees on legal and compliance topics.
Preferred experience
✨ You’re a great match:
- You have 8-12+ years of legal background, ideally a mix of law firm and in-house roles within tech or scale-up environments.
- You have a strong expertise in corporate law and in commercial contracts.
- You possess strong management and leadership skills.
- You are not afraid to build a department from scratch : legal structures, processes, and frameworks.
- You are hands-on, adaptable, and proactive, with a bias for action.
- You are a strategic thinker with excellent business acumen.
- If you have experience in a European and cross-border legal context it would be a plus.
- If you have knowledge of Regulatory Compliance it would be a plus.
